Please read these Terms of Service carefully before using the EquipmentsDirect platform. These Terms govern your access to and use of our website and services. By using our platform, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using EquipmentsDirect.com ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform. These Terms apply to all visitors, users, buyers, and dealers (collectively "Users").
2. Description of Service
EquipmentsDirect provides an online marketplace connecting commercial equipment dealers with buyers. The Platform allows dealers to list equipment for sale and buyers to browse, search, and contact dealers. EquipmentsDirect is not a party to any transaction between buyers and dealers.
3. Dealer Accounts
Dealers must create an account and complete the verification process to list equipment. You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the security of your account credentials. You must not share your account with others or allow unauthorized access.
4. Listing Rules
All listings must be for legitimate commercial equipment that the dealer owns or has authority to sell. Listings must include accurate descriptions, pricing, and condition information. Misleading, fraudulent, or duplicate listings are strictly prohibited and will result in immediate account suspension. EquipmentsDirect reserves the right to remove any listing that violates these rules.
5. Fees and Payment
Dealer subscription plans are billed monthly or annually as selected. Fees are non-refundable except as required by law or as stated in our refund policy. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension of your dealer account and removal of listings.
6. Buyer Conduct
Buyers may contact dealers through the Platform for legitimate purchasing inquiries only. Buyers may not use dealer contact information for spam, solicitation, or any purpose other than equipment purchase. Buyers are responsible for independently verifying all equipment details before completing a purchase.
7. Prohibited Activities
Users may not: (a) post false or misleading information; (b) use the Platform for any unlawful purpose; (c) attempt to gain unauthorized access to the Platform; (d) scrape, crawl, or harvest data without permission; (e) interfere with the Platform's normal operation; (f) circumvent any pricing, subscription, or fee structure.
8. Intellectual Property
All content on the Platform, including the EquipmentsDirect name, logo, design, and software, is owned by or licensed to EquipmentsDirect. By posting listings, you grant EquipmentsDirect a non-exclusive license to display your content on the Platform and in promotional materials. You retain ownership of your listing content.
9. Disclaimers and Limitation of Liability
The Platform is provided "as is" without warranties of any kind. EquipmentsDirect does not guarantee the accuracy of listings, the quality of equipment, or the reliability of dealers or buyers. In no event shall EquipmentsDirect be liable for indirect, incidental, special, or consequential damages arising from use of the Platform.
10. Dispute Resolution
Any disputes between buyers and dealers are solely between those parties. EquipmentsDirect is not liable for resolving transactional disputes. Any legal dispute with EquipmentsDirect shall be resolved through binding arbitration in Dallas, Texas, under the rules of the American Arbitration Association.
11. Termination
We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or harms other users. You may cancel your account at any time from your account settings. Upon termination, your listings will be removed from the Platform.
12. Changes to Terms
We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Platform after changes constitutes acceptance of the updated Terms. The current version of the Terms is always available at this URL.
